Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and VORI Operations Group LLC (“VoriLabs,” “we,” “us”) governing your access to and use of vorilabs.com (the “Site”) and all purchases. By accessing the Site or placing an order, you accept these Terms. If you do not agree, do not use the Site.

The Site is invitation-only. You must be at least 21 years old and a qualified researcher (or purchasing for a research institution, laboratory, or business) for lawful laboratory research. You are responsible for your account credentials and for all activity under your account.

All products are sold strictly for laboratory and scientific research use (see our Research Use & Purchaser Acknowledgement and Compliance & Legal statement). You agree not to: (a) represent that any product is a drug, supplement, food, or cosmetic; or (b) use the Site or products in violation of any law.

No statement on the Site has been evaluated by the FDA. We make no claim that any product is safe or effective to diagnose, treat, cure, or prevent any disease, and we provide no medical advice or dosing/administration guidance.

Product descriptions, Certificates of Analysis (COAs), and specifications describe the material’s identity and analytical characteristics for research purposes. EXCEPT FOR THE LIMITED CONFORMANCE TO PUBLISHED COA SPECIFICATIONS, PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

All orders are offers to purchase and are subject to our acceptance; we may refuse or cancel any order for any reason, including suspected unlawful or human-use intent. Prices are as listed at order time and may change. Payment is arranged off-platform; your order is confirmed after payment per the instructions we provide.

If you provide a phone number and opt in to SMS notifications (at checkout or in account settings), you agree to receive automated transactional text messages related to your account, orders, and support requests at that number — including verification codes, order confirmation and shipping/delivery updates, and replies to a support request you initiated. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to any message to opt out, or HELP for assistance. Shipping and handling are governed by our Shipping & Handling policy. Title and risk of loss pass to you upon our delivery of the products to the carrier.

Returns and refunds are governed by our Refund & Reship Policy. Because these are research materials, claims are limited to the condition of the shipment (damage, loss, or incorrect item) and not to research outcomes.

You knowingly assume all risk arising from the purchase, handling, storage, and use of the products. We are not liable for any harm resulting from any use of a product that violates these Terms or the Acknowledgement, including any human or animal use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORILABS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATING TO THE SITE OR ANY PRODUCT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED the amount you paid for the product(s) giving rise to the claim.

You will indemnify, defend, and hold harmless VoriLabs and its officers, members, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from your breach of these Terms or the Acknowledgement, or your misuse of any product.

You are solely responsible for ensuring your purchase, possession, and use of products comply with all applicable federal, state, and local laws and institutional policies. You will not export or re-export products in violation of U.S. export-control laws.

Any dispute arising out of or relating to these Terms or any product will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its consumer rules, seated in Yellowstone County, Montana, rather than in court, except that either party may bring an individual claim in small-claims court. You and VoriLabs waive any right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by emailing info@vorilabs.com within 30 days of first accepting these Terms.

These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws rules.

We may modify these Terms; the “Last updated” date reflects the current version, and continued use after changes constitutes acceptance.

If any provision is unenforceable, the remainder stays in effect; these Terms, together with the Acknowledgement, Privacy Policy, Compliance & Legal statement, and the Shipping and Refund policies, are the entire agreement between you and VoriLabs regarding the Site and supersede prior agreements.
